Corporate Governance Manager

£70K-£90K + bonus + benefits
London - hybrid working
The role:
The oversight and the running of all of the Group’s UK companies;
* Arrange quarterly and ad-hoc board meetings of directors as required;
* Build board packs and arrange timely distribution to the board in advance of meetings;
* Draft minutes of meetings and action points to a high standard;
* Manage the completion of action points with the action holder;
* Arrange internal committee and oversight meetings and draft minutes of same;
* Attend to statutory filings (including updates to filings as needed);
* Liaise with the board to arrange signing of documents on an ad-hoc basis;
* Maintain records on the corporate database and assist with structure charts.
In conjunction with the Group’s US counsel:
* Arrange board meetings and written consents as required;
* Draft board meeting minutes and consents as required;
* Attend to annual and ad-hoc statutory filings (including updates to beneficial ownership or company applicant information as needed);
* Liaise with the board to arrange signing of documents on an ad-hoc basis;
* Maintain US entity records on the corporate database and assist with structure charts.
* Arrange, attend and minute internal committee meetings;
* Maintain the Group’s internal policy framework;
* Deal with general customer due diligence and AML requests;
* Liaise with the Group’s auditors;
* Collaborate with colleagues to develop, improve and implement processes and procedures for good corporate governance practices;
* Support the Group Head of Corporate Governance
OTHER ATTRIBUTES & QUALIFICATIONS
The successful candidate will:
* Have in excess of 5 years’ experience within a governance role
* Financial services experience
* Have or working towards qualifications from a suitable body such as the Chartered Governance Institute;
