Job Description:
FD Recruit is partnering a client in Manchester to engage a portfolio FD for 1-2 days per week to support a client through an exit. The portfolio Finance Director will operate through their limited company working with the CEO/Founder in the office to lead the financial aspects of the due diligence process and prepare the company for a successful sale. The ideal candidate will possess deep expertise in financial analysis, corporate transactions, and stakeholder communication, ensuring that the company’s value is accurately represented to potential buyers.  This engagement would suit a Chief Financial Officer or Finance Director who has experience in M&A and specifically the sell side due diligence process. 
The Finance Director will have the following responsibilities:
*Prepare, review, and present financial documentation in a data room for due diligence, ensuring accuracy, completeness, and alignment with buyer expectations.
*Support the CEO in the coordination with legal, tax, and financial advisors to address enquiries and support audit processes.
*Develop and oversee financial models to assess company valuation and scenario planning.
*Identify and resolve any financial or operational issues that may impact the sale.
*Provide strategic recommendations to optimize financial performance and marketability.
*Act as a primary financial liaison with the business owner, potential buyers, and advisors.
*Communicate complex financial information in a clear and actionable manner to non-financial stakeholders.
*Conduct thorough financial and operational assessments to highlight strengths and mitigate risks.

Qualifications and Experience:
*Proven track record as a Finance Director or similar role, ideally within M&A, private equity, or corporate finance.
*Extensive experience leading due diligence and transaction processes.
*Strong knowledge of financial reporting, forecasting, and analysis.
*Excellent communication and interpersonal skills, with the ability to influence and collaborate effectively.
*Strategic thinker with a hands-on approach to problem-solving.
*Exceptional organizational skills and attention to detail.
*Ability to thrive under pressure and manage competing priorities.
*Demonstrated ability to manage confidential information with integrity.

The rate quote for this engagement is a guideline and the rate offered will be commensurate with experience.
