The role:
Reporting to the Head of Secretariat Life Insurance, you will play a key role in the delivery of Company Secretariat’s mandate to ensure that the implementation of corporate governance requirements are met and that appropriate legal and statutory compliance is maintained for the Group through the provision of board support and governance to M&G’s Life Insurance division, its Board and Committees, subsidiary entities, and executive governance.

The role will encompass legal entity and board governance and compliance matters, including being a subject matter expert on the Companies Act, UK company law, and regulatory governance matters.

The role will assist the Head of Secretariat, Life Insurance in delivering a best in class Company Secretariat service to the Group’s Life Insurance division, including but not limited to board governance, legal entity management and compliance, executive governance, and subsidiary governance developments and horizon scanning.

The role will sit within a small team and the role-holder will be proactive in helping others within the Life Insurance team, as well as the wider Company Secretariat function.

This role would be ideal for a proactive and dedicated governance professional who is wanting to learn and to develop their existing interpersonal, prioritisation and stakeholder management skillset in a supportive yet driven and friendly team environment.

Key responsibilities:
? Playing a key role in ensuring the Life Insurance division’s compliance with UK Company law, including statutory compliance and associated governance matters.
? Taking responsibility for and providing governance support to a number of subsidiary entitiesand board committees in the Life Insurance division, including working with the Chair, agenda preparation, quality and timeliness of papers, and preparing minutes and actions.
? Drafting, reviewing, and maintaining a range of corporate governance documents, including governance frameworks and manuals, matters reserved for boards, committee terms of reference, board effectiveness reviews, process and control documents, and board and committee papers.
? Ensuring developments in UK company law, subsidiary governance and best practice are monitored and tracked, to develop action plans where appropriate, and to undertake horizon scanning for relevant future changes to governance and regulation escalating issues as appropriate to the Head of Secretariat Life Insurance.
? Identifying operational efficiencies, including simplifying and utilising technology, automation and workflow, in core areas of governance activity.
? Playing a key role in the Company Secretariat Risk and Controls Self-Assessment framework and the operation and assessment of key controls relating to legal entity governance and compliance.
? Deputising for the Head of Secretariat, Life Insurance and providing support on subsidiary governance and compliance projects as required.
? Providing guidance and mentoring junior members of the team and providing other assistance as required from time to time to ensure departmental objectives are met.

Experience :
? Experience in working in the Secretariat of a FTSE 350 or large private company (5 years plusexperience).
? An understanding of Companies Act and UK company law, and legislation and regulation applicable to legal entity management and compliance.
? Experience of taking board and committee minutes and preparing resolutions and board papers.
? Experience of working with board-level internal stakeholders and senior managers.
? Detailed knowledge of key governance processes and systems, such as Diligent entities, and Board Portals.

Qualifications:
? Associate member of the Corporate Governance Institute or equivalent (desirable).
? University degree or equivalent (desirable).
