Quilter Corporate Secretariat provides excellent Board Corporate Governance Advisory Support to our dual-listed FTSE 250 company and its regulated subsidiaries. This role is a great opportunity for an experienced Company Secretarial Assistant to continue their training and development within a Corporate Secretariat which strongly believes in developing Chartered Secretaries to have both breadth and depth of experience.

The role is busy but rewarding, and you will be supported by a highly experienced team. Your contribution will be valued by the most senior stakeholders and if you are still studying towards your professional qualification, you will be supported through your exams.

Board and Committee Support

A core part of your role will be to provide excellent support to our Boards, Board Committees and Directors including: *Drafting meeting agendas, forward calendars, minutes and Board papers where relevant.
*Facilitating the preparation and distribution of Board and Committee meeting papers to Directors in line with agreed deadlines.
*Assisting the producers of Board and Committee papers by providing guidance on content and style of papers in line with the standards set by the Corporate Secretariat.
*Providing meeting support before and on the day of the meeting for the Company Secretary and Directors, ensuring the logistics are in place (such as, catering, IT support, managing guests and presenters).
*Collaborating with the Senior Company Secretary and Assistant Company Secretary by proactively sharing relevant information about the Boards / Committee you support.
*Supporting certain Directors by managing their travel arrangements.
You will also be expected to undertake various ad-hoc duties: *Maintaining the team diary for the meetings you have booked.
*Arranging ad-hoc Board or Committee meetings and maintaining procedures and schedules.
*Maintaining the minute book for signed original minutes and access permissions for Diligent Boards for the Board and Committees you are responsible for.
Company Secretarial Support

Working to the direction of a Senior Company Secretary and Assistant Company Secretary you will be expected to undertake a variety of tasks on rotation including: *Drafting corporate governance papers and supporting materials to support applications for our regulated Boards and Board approvals.
*Managing the statutory compliance for Quilter’s entities, including updating statutory records in Diligent Entities.
*Making routine filings at Companies House.
*Supporting ad-hoc stock exchange announcements on the London and Johannesburg stock exchanges in relation to Quilter’s issued share capital, dividends or share plans.
*Updating the team calendar for tasks you undertake and taking responsibility for the tasks as allocated, including managing the Close Links process, Annual Controllers Report and registered office lists.
*Drafting and reviewing routine minutes, accounts and resolutions.
Team Activity

In addition to the Board, Committee and company secretarial work, you will support the delivery of the team strategy and provide ad hoc support to the business. This may include: *Supporting the Quilter plc year end activities, including drafting sections of the Annual Report, supporting on the AGM or Board Strategy Day.
*Cost centre management for the team.
About You

Key skills and experience of the successful candidate include: *Part-qualified Chartered Governance professional with experience gained in a company secretariat.
*A positive and enthusiastic attitude, strong team working values and a collaborative style.
*Good written and verbal communication skills, together with excellent attention to detail.
*A strong desire to work in a fast-paced environment and able to work closely to deadlines across a wide range of work.
